1.2 Provided the User is using the GoodIP Web Site as a business customer, i.e. for purposes of his or her trade, business or profession or on behalf of a public body or corporation, § 312i paragraph1, sentence 1, no. 1 - 3 of the German Civil Code does not apply.
2.1 The GoodIP Website is provided solely to assist You in posting opinions of patent related issues, reading patent related information and contacting owners of patents listed on the GoodIP Web Site, and for no other purposes.
2.3 GoodIP is not a patent broker, does not provide patent broker services and does not sell or license patents. Companies, universities, inventors, patent brokers etc. (“Third Parties”) list patents on the GoodIP Web Site. If You purchase or license a patent from them, please be sure to check (and negotiate) the Third Party's terms and conditions for such a sale or license. Your interactions with Third Parties are at Your own risk. GoodIP will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence of any Third Party or for any personal injuries, death, property damage, or other damages or expenses resulting from Your interactions with any Third Party. Although GoodIP displays information about patents owned by third parties, such display does not in any way imply, suggest, or constitute GoodIP's sponsorship or approval of such Third Parties or their patents, or any affiliation between GoodIP and the Third Parties. Although users of the GoodIP Web Site may rate and review particular patents based on their own opinions, GoodIP does not endorse or recommend these patents, these rating or these reviews. 3. Reviews and Comments
3.2 The GoodIP Web Site may contain discussion forums, bulletin boards, review services or other forums in which you or third parties may post reviews of patents (“Review Areas"). If GoodIP provides such Review Areas, You are solely responsible for Your use of such Review Areas and use them at Your own risk. By using any Review Areas, You expressly agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the GoodIP Web Site any of the following:
3.3 GoodIP takes no responsibility and assumes no liability for any Content posted, stored or uploaded by You or any third party, or for any loss or damage thereto, nor is GoodIP liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity You may encounter. As a provider of interactive services, GoodIP is not liable for any statements, representations or Content provided by its users in any public forum, personal home page or other the like. Although GoodIP has no obligation to screen, edit or monitor any of the Content posted to or distributed through any Review Area, GoodIP reserves the right, and has absolute discretion, to remove, screen, translate or edit without notice any Content posted or stored on the GoodIP Web Site at any time and for any reason, or to have such actions performed by third parties on its behalf, and you are solely responsible for creating backup copies of and replacing any Content you post or store on this GoodIP Web Site at your sole cost and expense.
3.6 Please be aware that by submitting content to the GoodIP Web Site by email, Content postings in the Review Areas or otherwise, including any patent reviews, questions, comments, suggestions, ideas or the like contained in any submissions (collectively, “Submissions"), you grant GoodIP a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sub-licensable right to (a) use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such Submissions throughout the world in any media, now known or hereafter devised, for any purpose; and (b) use the name that you submit in connection with such Submission. You acknowledge that GoodIP may choose to provide attribution of your comments or reviews at GoodIP's discretion. You further grant GoodIP the right to pursue at law any person or entity that violates Your or GoodIP's rights in the Submissions. You acknowledge and agree that Submissions are non-confidential and non-proprietary. If it is determined that You retain moral rights (including rights of attribution or integrity) in the Submissions, You hereby declare that (a) You do not require that any personally identifying information be used in connection with the Submissions, or any derivative works of or upgrades or updates thereto; (b) You have no objection to the publication, use, modification, deletion and exploitation of the Submissions by GoodIP or its licensees, successors and assigns; (c) You forever waive and agree not to claim or assert any entitlement to any and all moral rights of an author in any of the Submissions; and (d) You forever release GoodIP, and its licensees, successors and assigns, from any claims that you could otherwise assert against GoodIP by virtue of any such moral rights.
3.7 GoodIP does not edit or control the Submissions posted to or distributed on the GoodIP Web Site including through any chat rooms, bulletin boards or other communications forums, and will not be in any way responsible or liable for such Submissions. GoodIP nevertheless reserves the right for any reason in its sole discretion to remove without notice any Submissions.
4. Registration, Password
4.1 Some pages of the GoodIP Web Site may be password protected. In the interests of safety and security of certain transactions, only registered Users are permitted to access such pages. GoodIP reserves the right to deny registration to any User. GoodIP particularly reserves the right to demand User registration for pages which were previously freely accessible. GoodIP is entitled, at any time and without obligation to give reasons, to deny the User the right to access the password-protected area by blocking its User Data (as defined below), in particular if the User
4.2 During registration, the User shall give accurate information, and, where such information changes in the course of time, shall update this information (online, to the extent possible) without undue delay. The User shall ensure that his or her e-mail address, as supplied to GoodIP, is current at all times and is an address at which the User can be contacted.
4.3 Upon registration the User will generate his or her access code, comprising a User ID and a password ("User Data"). On first access, the User shall choose a password known only to the User. User Data allows the User to view of change his or her own data or to withdraw or grant consent to processing of his or her data.
4.4 The User shall ensure that User Data is not accessible to third parties and is liable for all transactions and other activities carried out under his or her User Data. At the end of each online session, the User shall log-off from the password protected area. If, and to the extent, the User becomes aware that third parties are misusing his or her User Data, the User shall notify GoodIP thereof without undue delay in writing, as well as by immediate e-mail where applicable.
4.5 After receipt of the notification in section 4.4, GoodIP will deny access to the password-protected area under such User Data. Access by the User will only be possible again upon the User's application to GoodIP or upon new registration.
4.6 The User may at any time request termination of his or her registration in writing, provided that the deletion will not violate the proper performance of contractual relationships. In such an event, GoodIP will delete all User Data and any other personal data related to the User as soon as this data is no longer needed.
5. Rights of Use to Information, Software and Documentation
5.3 Information, software and documentation made available on this GoodIP Web Site may not be distributed by the User to any third party at any time, nor may it be rented or made available in any other way. Unless such is allowed by mandatory law, the User shall not modify the software or documentation nor disassemble, reverse engineer or decompile the software or separate any part thereof.
5.4 The information, software and documentation are protected by copyright laws as well as international copyright treaties and other laws and conventions related to intellectual property. The User shall observe such laws and in particular shall not modify, conceal or remove any alphanumeric code, marks or copyright notices, neither from the information nor from the software or documentation or any copies thereof.
5.5 §§ 69a et seq. of the German Copyright Law shall not be affected hereby.
6. Intellectual Property
6.1 The materials provided on the GoodIP Web Site, including all content, information, photographs, illustrations, graphics, names, trademarks and logos, are the property of GoodIP or its licensors and are protected by copyright and trademark laws and other intellectual property rights. The contents of the GoodIP Web Site may not be changed, copied, reproduced, sold, rented, used, supplemented or utilised in any other way without the prior written permission of GoodIP.
6.2 Nothing contained in the above shall be construed as granting by implication or otherwise any license or right to use any patent, trademark or any other intellectual property right of GoodIP or its licensors. Nor does it grant any license or rights to use any copyrights or other rights related to the materials described in section 6.1.
6.3 The word and device trademark GoodIP, other product trademarks, illustrations and logos identify GoodIP products and are the property of GoodIP. Eventually, registrations have not yet taken place in all relevant countries.
6.4 Use of these names and trademarks requires express permission of GoodIP. The use of the name GoodIP as a reference is permitted, e.g. for a link to the GoodIP Web Site. GoodIP must receive prior notification of such use.
The GoodIP Web Site may contain hyperlinks to the web pages of third parties. GoodIP shall have no liability for the contents of such web pages and does not make representations about or endorse such web pages or their contents as its own. GoodIP does not control the information on such web pages and is not responsible for the contents and information given thereon. The use of such web pages shall be at the sole risk of the User.
8.1 Insofar as any information, software or documentation is made available at no cost, any liability of GoodIP for defects as to quality or title of the information, software and documentation especially in relation to the correctness or absence of defects or the absence of claims or third party rights or in relation to completeness and/or fitness for purpose are excluded except for cases involving willful misconduct or fraud.
8.2 For all kinds of other claims, GoodIP shall be liable in accordance with the legal provisions only in the event of (1) intent and gross negligence, (2) in cases of damage to health, physical injury or death, (3) in case of the assumption of guarantees, (4) in cases of malicious concealment and (5) in cases of claims based on the Product Liability Act. If GoodIP is in culpable breach of an essential obligation or if a customer is entitled to claims for compensation of damage in place of performance, the liability shall be limited to compensation for typically occurring, foreseeable damages. No other claims for damages (e.g. consequential damages) may be asserted against GoodIP. Essential obligations shall mean for the purpose of these terms those obligations protecting the customer's essential legal positions, which the contract is meant to grant according to its content and purpose; in addition, those obligations, enabling the fulfilment of the contract and regularly trusted on by the customer are deemed to be essential obligations (e.g. delivery of the agreed products with the agreed characteristics, respectively the characteristics stated in the specifications, in due time and suitability of those products for the agreed purpose, respectively the purpose stated in the product description).
Although GoodIP makes every effort to keep the GoodIP Web Site free from viruses, GoodIP cannot make any guarantee that it is virus-free. The User shall, for his or her own protection, take the necessary steps to ensure appropriate security measures and shall utilize a virus scanner before downloading any information, software or documentation.
10. Export Controls
The export of certain information, software and documentation may, e.g. due to its nature or intended use or final destination, be subject to authorisation. The User shall strictly conform to the export regulations for information, software and documentation, in particular with those of the EU as well as the individual EU member states and the USA.
11. Data Privacy Protection
For collecting, using and processing personal data of GoodIP Web Site Users, GoodIP complies with applicable laws on protection of data privacy.
12. Supplementary Agreements, Place of Jurisdiction, Applicable Law
12.1 Any supplementary agreement requires the written form.
12.2 The place of jurisdiction shall be Munich if the User is a merchant in terms of the German Commercial Code (Handelsgesetzbuch).
12.3 The individual pages of the GoodIP Web Site are operated by and administered by GoodIP. The pages comply with the law applicable in Germany. GoodIP accepts no responsibility for the fact that said information, software and/or documentation on the GoodIP Web Site can be viewed or downloaded at locations outside such a country. If Users access the GoodIP Web Site from outside such a country, they are exclusively responsible for compliance with all applicable local laws. Access to the GoodIP Web Site's information, software and/or documentation from countries where such content is unlawful is prohibited.
